1. ABOUT THIS AGREEMENT

This Affiliate Agreement (“Agreement”) is a legally binding contract between you (“Affiliate,” “you,” or “your”) and Al Rahming Photography, a sole proprietorship located at #10 Silver Pine Close, Nassau, Bahamas (“Company,” “we,” “us,” or “our”).

This Agreement governs your participation in the Al Rahming Digital Marketplace affiliate program and must be read in conjunction with:

By joining our affiliate program, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement and all referenced policies.


2. LEGAL COMPLIANCE AND CONSUMER PROTECTION

2.1 Bahamian Consumer Protection Act Compliance

This Agreement operates in full compliance with the Consumer Protection Act [CH.337C] of The Bahamas, including but not limited to:

  • Section 23: Transaction record requirements
  • Section 31-33: Prohibition of misleading or deceptive conduct
  • Section 47: Mandatory alternative dispute resolution
  • Section 51: Provider registration requirements

2.2 Mandatory Alternative Dispute Resolution

IMPORTANT: In accordance with Section 47 of the Consumer Protection Act, any disputes arising from this Agreement must first be addressed through mediation before court action.

Required Process:

  1. Attempt direct resolution with Company support team
  2. Request mediation through the Bahamas Consumer Commission if direct resolution fails
  3. Complete mediation process before pursuing court action

This mediation requirement is mandatory under Bahamian law and cannot be waived.


3. AFFILIATE PROGRAM OVERVIEW

3.1 Program Description

The Al Rahming Digital Marketplace affiliate program allows qualified individuals to earn commissions by promoting our digital products and services through approved methods.

3.2 Eligible Products

Affiliates may promote the following digital products and services:

  • AI-powered tools and prompts
  • Digital templates and resources
  • Professional development solutions
  • Creative digital products
  • Consultation and support services

Physical Product Restriction: Physical products may only be promoted to customers within The Bahamas due to shipping limitations.

3.3 Geographic Restrictions

  • Digital Products: No territorial restrictions – worldwide promotion permitted
  • Physical Products: Bahamas residents only due to shipping constraints
  • Service-Based Products: May have specific geographic limitations as noted in individual product descriptions

4. COMMISSION STRUCTURE

4.1 Commission Tiers

Starter Level (15%) – First $500 in monthly sales
Professional Level (25%) – $501 to $1,500 per month
Elite Level (35%) – $1,500+ per month

4.2 Commission Calculation

Commissions are calculated using a tiered system where different rates apply to different sales volume ranges within each monthly period:

Example Calculation for $2,000 monthly sales:

  • First $500 × 15% = $75.00
  • Next $1,000 ($501-$1,500) × 25% = $250.00
  • Remaining $500 ($1,501+) × 35% = $175.00
  • Total Commission: $500.00

4.3 Commission Payment Terms

  • Payment Schedule: Monthly payments on the 28th day of each month
  • Minimum Threshold: $10.00 USD minimum required for payout
  • Payment Method: [To be specified – PayPal, bank transfer, etc.]
  • Currency: All payments in US Dollars (USD)
  • Payment Timeline: Payments processed within 5 business days of payment date

4.4 Below-Threshold Balances

  • Balances under $10.00 remain active and accumulate until threshold is met
  • No expiration on accumulated balances for active affiliates
  • Balances carry forward month-to-month until payout threshold reached

5. COMMISSION CLAWBACK AND REFUND POLICY

5.1 Refund-Related Commission Adjustments

When customers request refunds under our Refund Policy, affiliate commissions are subject to clawback:

  • Approved Refunds: Full commission amount deducted from future payments
  • “The 5-Minute Career Upgrade” 30-Day Guarantee: Commission recovered if refund approved
  • Processing: Clawbacks processed in the month following refund approval
  • Negative Balances: If clawback exceeds current balance, negative amount carried forward

5.2 Commission Tracking

All commission calculations and adjustments will be transparent and trackable through your affiliate dashboard, including:

  • Original commission earnings
  • Refund-related clawbacks
  • Current balance status
  • Payment history

6. AFFILIATE ELIGIBILITY AND REQUIREMENTS

6.1 Eligibility Criteria

To participate in our affiliate program, you must:

  • Be at least 18 years of age
  • Have legal capacity to enter contracts
  • Provide accurate registration information
  • Maintain an active website, social media presence, or marketing platform
  • Comply with all applicable laws and regulations

6.2 Prohibited Affiliate Activities

Affiliates are absolutely prohibited from:

  • Making false or misleading claims about our products
  • Engaging in fraudulent sales or fake referrals
  • Using spam or unsolicited communications
  • Violating any trademark or intellectual property rights
  • Misrepresenting their relationship with the Company
  • Creating confusion about being officially employed by or partnered with the Company

7. TRADEMARK AND INTELLECTUAL PROPERTY PROTECTION

7.1 Protected Terms

Affiliates are strictly prohibited from using the following terms in domain names, business names, social media handles, or in any way that creates confusion:

Prohibited Brand Terms:

  • “Al Rahming Photography”
  • “Al Rahming Corporate”
  • “Al Rahming”
  • “Al Rahming Digital Marketplace”
  • Any variations, misspellings, or similar derivatives

7.2 Paid Advertising Restrictions

Affiliates may NOT bid on or use the following terms in paid advertising (Google Ads, Facebook Ads, etc.):

  • Company name variations
  • Brand-specific keywords
  • Trademark-protected terms
  • Competitive branded terms that create confusion

7.3 Intellectual Property Rights

  • Company Content: All product materials, marketing assets, and proprietary content remain Company property
  • Affiliate Content: Affiliates retain rights to their original promotional content
  • Usage Rights: Limited license granted only for approved affiliate marketing activities
  • Termination: All usage rights terminate immediately upon agreement termination

8. MARKETING GUIDELINES AND DISCLOSURE REQUIREMENTS

8.1 Required Affiliate Disclosures

MANDATORY REQUIREMENT: Affiliates must clearly disclose their affiliate relationship in ALL promotional materials.

Required Language Examples:

  • “I earn a commission if you purchase through this link”
  • “This post contains affiliate links – I may earn a commission from purchases”
  • “Affiliate partner – compensated for referrals”

8.2 Disclosure Placement

Disclosures must be:

  • Prominent: Clearly visible and not hidden
  • Clear: Easily understood by average consumers
  • Immediate: Placed before or with affiliate links, not buried in terms
  • Consistent: Used across all promotional channels and materials

8.3 Approved Marketing Methods

Affiliates may promote products through:

  • Personal websites and blogs
  • Social media platforms
  • Email marketing (to opted-in lists)
  • Paid advertising (following trademark restrictions)
  • Content marketing and reviews
  • Video marketing and tutorials

8.4 Prohibited Marketing Practices

Affiliates may NOT:

  • Use misleading or deceptive advertising
  • Make unauthorized income claims
  • Spam or use unsolicited communications
  • Violate platform terms of service
  • Engage in trademark infringement
  • Create false scarcity or urgency
  • Misrepresent product features or benefits

9. CUSTOMER DATA AND PRIVACY

9.1 Customer Data Responsibility

IMPORTANT NOTICE: Any collection, use, or handling of customer data by affiliates is solely the affiliate’s responsibility.

9.2 Company Liability Limitation

The Company is NOT responsible for:

  • Affiliate data collection practices
  • Affiliate privacy policy compliance
  • Third-party data sharing by affiliates
  • Customer contact outside Company platform
  • Affiliate email list building activities

9.3 Affiliate Data Obligations

If affiliates choose to collect customer data, they must:

  • Comply with applicable privacy laws
  • Maintain their own privacy policies
  • Obtain proper customer consent
  • Handle data securely and responsibly
  • Indemnify Company from data-related claims

10. TERMINATION PROVISIONS

10.1 Termination by Either Party

Either party may terminate this Agreement:

  • With Cause: Immediate termination for violations
  • Without Cause: 30 days written notice
  • Voluntary Withdrawal: Affiliate may withdraw at any time

10.2 Termination for Violation

If affiliate violates ANY terms of this Agreement:

  • Immediate Termination: No notice required
  • Commission Forfeiture: All unpaid commissions under $10 threshold forfeited
  • Account Suspension: Immediate loss of affiliate access
  • Legal Action: Company reserves right to pursue damages

10.3 Voluntary Withdrawal

If affiliate voluntarily leaves program:

  • Earned Commissions: Balances under $10 remain active
  • Re-enrollment: Affiliate may re-join program in future
  • Balance Restoration: Previous balance restored upon re-enrollment
  • Good Standing: No penalties for voluntary withdrawal

10.4 Post-Termination Obligations

Upon termination, affiliates must:

  • Immediately cease all promotional activities
  • Remove all Company-provided marketing materials
  • Stop using Company trademarks and brand terms
  • Honor all disclosure and confidentiality obligations

11. INDEMNIFICATION AND LIABILITY

11.1 Affiliate Indemnification

Affiliate agrees to indemnify, defend, and hold harmless the Company from any claims, damages, losses, or expenses arising from:

  • Affiliate’s marketing activities
  • Violations of this Agreement
  • Misleading or false advertising by affiliate
  • Trademark or intellectual property violations
  • Data privacy violations
  • Third-party claims related to affiliate’s conduct

11.2 Company Liability Limitation

To the maximum extent permitted by Bahamian law:

  • Company’s total liability limited to unpaid commissions owed
  • No liability for indirect or consequential damages
  • No responsibility for affiliate’s business losses
  • No warranties regarding affiliate income potential

11.3 Consumer Protection Act Compliance

Both parties acknowledge that any violations of the Consumer Protection Act, including misleading conduct or false representations, may result in:

  • Immediate termination of this Agreement
  • Legal liability under Bahamian law
  • Fines and penalties as prescribed by law
  • Potential criminal prosecution for serious violations

12. FORCE MAJEURE AND SPECIAL CIRCUMSTANCES

12.1 Force Majeure Events

Neither party shall be liable for delays or failures due to:

  • Natural disasters or acts of God
  • Government actions or regulations
  • Internet or technology failures
  • Third-party service disruptions
  • Other circumstances beyond reasonable control

12.2 Platform Changes

Company reserves the right to:

  • Modify commission structures with 30 days notice
  • Update product offerings
  • Change payment methods or schedules
  • Modify affiliate program terms with notice

12.3 System Errors and Corrections

  • Technical errors in commission calculations will be corrected
  • Obvious system glitches do not create binding obligations
  • Duplicate payments subject to recovery
  • Good faith efforts to resolve technical issues

13. GOVERNING LAW AND DISPUTE RESOLUTION

13.1 Governing Law

This Agreement is governed by the laws of the Commonwealth of The Bahamas.

13.2 Mandatory Mediation (Consumer Protection Act Section 47)

Before any legal action, parties must:

  1. Attempt direct resolution through good faith negotiation
  2. Request mediation through the Bahamas Consumer Commission
  3. Complete mediation process before court proceedings
  4. Follow all Consumer Commission procedures and requirements

13.3 Jurisdiction

Any legal proceedings shall be conducted in the courts of The Bahamas, with English as the official language.


14. GENERAL PROVISIONS

14.1 Entire Agreement

This Agreement, together with referenced Company policies, constitutes the complete agreement between parties and supersedes all prior agreements.

14.2 Amendments

  • Agreement may only be modified in writing
  • Company may update terms with reasonable notice
  • Continued participation constitutes acceptance of modifications
  • Material changes communicated via email when possible

14.3 Severability

If any provision is found unenforceable, the remainder of the Agreement remains in full force and effect.

14.4 Independent Contractor Status

Affiliate is an independent contractor, not an employee, partner, or agent of the Company.

14.5 Assignment

Affiliates may not assign or transfer this Agreement without Company’s written consent.

16. ACKNOWLEDGMENT AND ACCEPTANCE

By joining the Al Rahming Digital Marketplace affiliate program, you acknowledge that:

This Agreement is effective immediately upon your acceptance and participation in the affiliate program.
